Terms and Conditions

This Master Terms of Service Agreement (“Agreement”) is a legally binding contract between SwipeFans (“Company,” “Platform,” “we,” “us,” “our”) and any individual or entity accessing or using the Service (“User,” “you,” “your”), including visitors, registered users, subscribers, and content creators.

By accessing or using the Service, you agree to be bound by this Agreement in full, including all incorporated policies, schedules, and future amendments. If you do not agree, you must immediately stop using the Service.

DEFINITIONS AND INTERPRETATION

• “Platform” or “Service” means SwipeFans and all related websites, applications, APIs, software, systems, monetization tools, and infrastructure.

• “User” means any person or entity using the Service.

• “Creator” means a User approved to upload or monetize Content.

• “Fan” means a User who accesses, purchases, or subscribes to Content.

• “Content” means all media including text, images, video, audio, livestreams, messages, metadata, and derivatives.

• “User Content” means Content submitted by Users.

• “Transaction” means any paid interaction including subscriptions, tips, purchases, or paid messaging.

• “Gross Revenue” means total Transaction value before deductions.

• “Net Revenue” means Gross Revenue minus Fees, chargebacks, reserves, and adjustments.

• “Creator Earnings” means amounts payable to Creators after deductions.

• “Fees” means platform commissions, processing fees, and service charges.

• “Risk Reserve” means funds withheld to cover fraud, chargebacks, or compliance risks.

ACCEPTANCE & MODIFICATIONS

• Use of the Service constitutes acceptance of this Agreement.

• We may update or modify this Agreement at any time.

• Continued use constitutes acceptance of updated terms.

• We may require re-acceptance for certain features (including monetization).

ELIGIBILITY

• Users must be at least 18 years old or legal age of majority.

• Users represent that all information provided is accurate and lawful.

• Users must not be prohibited from using the Service under applicable law.

• Creators may be subject to identity verification (KYC/AML).

ACCOUNT RESPONSIBILITY

Users are fully responsible for:

• Account security

• All activity under their account

• Maintaining accurate information

We may suspend or terminate accounts for violations, fraud, or suspicious activity.

PLATFORM ROLE

• The Platform is a technical intermediary only.

• We are not:

  • An agent, employer, or fiduciary

  • A financial advisor

  • Merchant of record in all jurisdictions

• All interactions are directly between Users.

CONTENT & LICENSE GRANT

• Users retain ownership of Content.

• Users retain ownership of all Content they create and upload to the Platform.

By uploading Content, Users grant SwipeFans a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, distribute, transmit, and make available such Content solely for the purposes of:

• operating and maintaining the Services;

• providing access to authorized users; ensuring security and fraud prevention;

• performing moderation and compliance reviews;

• improving Platform functionality; complying with legal obligations; and

• promoting the Services where permitted by applicable settings and law.

This license continues for as long as the Content remains available through the Services and thereafter only to the extent reasonably necessary for backups, legal compliance, dispute resolution, fraud prevention, enforcement of Platform policies, or other legitimate operational purposes.

• This license survives termination indefinitely.

• To the extent permitted by applicable law, Users agree not to assert moral rights against SwipeFans where such rights would prevent the operation, moderation, distribution, or technical processing of Content through the Services.

CONTENT RESPONSIBILITY

Users are solely responsible for their Content.

We are not liable for:

• Legality or accuracy

• Copyright violations

• User disputes

We may remove Content at any time at our discretion.

PROHIBITED CONDUCT

Users may NOT:

• Upload illegal, infringing, or fraudulent content

• Upload content involving minors or non-consensual acts

• Harass, abuse, or exploit others

• Use malware or harmful code

• Scrape, reverse engineer, or bypass systems

• Circumvent payments or monetize fraudulently

• Redistribute or leak paid Content

Violations may result in termination, forfeiture of funds, and legal action.

ADULT CONTENT

The Service may contain adult content.

By using it, you acknowledge:

• You may be exposed to explicit material

• You access it voluntarily

Zero tolerance applies for:

• Illegal content

• Non-consensual content

• Content involving minors

PAYMENTS

• Payments are processed by third-party providers.

• Transactions are generally non-refundable unless required by law.

• Users authorize recurring payments where applicable.

• We are not responsible for payment processor failures or delays.

FEES & MONETIZATION

• The Company charges service fees on Transactions.

• Fees may change at any time.

• We may apply dynamic pricing, promotions, or regional pricing.

• Earnings are not guaranteed.

CREATOR PAYOUTS

• Payouts depend on compliance, fraud checks, and thresholds.

• We may:

  • Delay or withhold payouts

  • Reverse payments due to chargebacks or fraud

  • Apply risk reserves

• Funds may be held after termination for risk exposure.

AML, FRAUD & COMPLIANCE

We may require:

• Identity verification

• Proof of address

• Biometric checks

• Source-of-funds documentation

We may:

• Freeze accounts

• Block transactions

• Report to authorities

• Terminate access without notice

INTELLECTUAL PROPERTY

All Platform systems, software, and infrastructure belong to the Company.

Users may not:

• Reverse engineer

• Copy or extract data

• Replicate platform systems

PRIVACY & DATA

We may collect:

• Account data

• Device data

• Transaction data

• Content data

• Verification data

We may share data with:

• Service providers

• Payment processors

• Authorities (when required by law)

MODERATION

We may:

• Remove Content

• Restrict visibility

• Suspend accounts

• Use automated systems

We are not liable for moderation decisions made in good faith.

TERMINATION

We may terminate or suspend access at any time.

Upon termination:

• Access is revoked

• Licenses may survive where applicable

• Financial holds may continue

LIABILITY LIMITATION

To the fullest extent permitted by law:

We are not liable for:

• Indirect or consequential damages

• Loss of revenue or profits

• Data loss

• User disputes

Service is provided “AS IS.”

INDEMNIFICATION

You agree to indemnify the Company against all claims arising from:

• Your Content

• Your use of the Service

• Your legal violations

DISPUTE RESOLUTION

• Disputes first attempted to be resolved informally.

• If unresolved, disputes may proceed to binding arbitration where enforceable.

• Users waive:

  • Class actions

  • Jury trials

  • Collective claims

GOVERNING LAW

This Agreement shall be governed by the laws of [Jurisdiction], excluding conflict of law principles, except where mandatory consumer protection laws require otherwise.

ENTIRE AGREEMENT

This Agreement and all incorporated schedules constitute the entire agreement between the parties.

SEVERABILITY

If any provision is invalid, remaining provisions remain fully enforceable.
